Minutes of Board of Directors Meeting

Tony Green called the meeting to order at
VERIFICATION OF A QUORUM
In attendance were board members Tony Green, Eric Oelschlager, Matt Steinhoff, Linda Harrell and Yvonne C. Sabater. Tony Harrell of the ACC was also in attendance. Special guests Larry Sheeler, Gary House and Jeff Charpentier attended to discuss Penn First Management.
ACCEPTANCE OF MINUTES
Tony Green moved to wave the reading of the minutes given that everyone had seen them earlier. Steinhoff seconded. Motion carried. Board approved the minutes from the December 19 and 27, 2001 meetings.
ISSUES
Board met with Penn First management team: Gary House (garypennfirst@aol.com), Lead Manager and Jeff Charpentier, Operations Manager.
Oelshlager noted that we have not
yet approved the
Financials were mailed out to the board members by Don Asher.
Green discussed the three letters from residents received through Don Asher.
There was no update from the ACC or other committees.
Metro-Turf isn't cutting it. Green moved to cancel their contract. Steinhoff seconded. Motion carries.
Green motioned to hire Penn First pending the lawyer's review of the contract. Steinhoff seconded. Motion carries.
Green motioned to transfer all association records from Don Asher to Penn Management. Steinhoff seconded. Motion carries.
New meeting time for board of directors is determined to be
the fourth Thursday of every month at
Sabater moves to distribute movie tickets to luminary volunteers. Green seconds. Motion carries. Harrell will take care of the details.
Green discussed a community social of some sort to meet the board and the new management. This would possibly involve chicken wings. The board is generally in favor of the idea (especially the chicken wings) but the details will need to be worked out. This will be discussed at a future board meeting.
Green moved that an independent audit be done of the 2000 and 2001 financials. The cost is estimated to be a couple thousands dollars. Steinhoff seconds on the condition that we can get an audit for under $2,500. Motion carries with the stipulation.
Green motions to have the auditor do the taxes at the same time as the audit unless we are already obligated to another tax preparation company. Harrell seconds. Motions carries.
Next board meeting is scheduled for February 28. Sabater will coordinate with the library for meeting space.
Sabater attended a Neighborhood Enhancement Grant seminar the previous weekend. She said that there could money to have addresses painted on the curb and for other enhancements. Steinhoff moves that Sabater gather information which she will turn over to Steinhoff for the official request. Sabater seconded. Motion carries.
